What happens if my corporation does not have a statutory agent?

If your corporation fails to maintain and keep a registered agent or statutory agent, you will fall out of compliance with the state you are registered in. Typically, the Secretary of State or Corporation Commission becomes your registered agent for service of process. Service of process on your corporation can simply be obtained then by mailing service of process to the Secretary of State. Even if the Secretary of State has no way to get in touch with you, it will be proof that you have been served.

Additionally, you will have to become in compliance again to maintain your position in court.

Typically, the state will begin its procedures to withdraw your corporation or dissolve it. In most states, this is an action that will create expensive fees for you.
