What is the model registered agents act

The model registered agents act was the brainstorming of the International Association of Commercial Administrators and the American Bar Association. The purpose is to make the variances between states terminology, lingo, and practices less daunting.

Businesses operating in all 51 jurisdictions face an enormous hurdle to do work legally in every state. Every state has different requirements, different rules, different regulations, and the terminology is different in most states. Take our business, the registered agent business. Statutory agent used to be the more common term, but because of the model registered agents act, the term statutory agent and resident agent is trying to be phased out and changed completely to  Registered agent. Many states call foreign registrations certificates of authority or certificates of registration. New corporations can be formed by filing articles of incorporation or certificates of incorporation. New LLCs may be formed by filing articles of organization, certificates of organization, or certificates of formation. The lingo is different, but the end result is basically the same.

Some of the weirdest terminology belongs to Maine. In Maine a domestic corporation must have a  Clerk, which is the same thing as a registered agent. California also calls it an  Agent for service of process.
